Terms of Service

These Terms of Service ("Terms") are an agreement between you and Updrafted Studio LLC, a New Jersey limited liability company trading as Limelift Studio ("Limelift," "we," "us"), 613 Washington Blvd. #1393, Jersey City, NJ 07310. They apply to our website at limelift.studio, our preview links, and every service you buy from us. By clicking to pay, checking the agreement box at checkout, or using our services, you accept these Terms. If you accept on behalf of a business, you confirm you are authorized to bind it. Our services are offered to businesses only. You must be at least 18 years old.

1. What we do

We redesign websites for local businesses. Our services include:

  • Hosted Website: we build, host and maintain your site.
  • Files Only: you receive the website files and host them yourself.
  • Brand Kit add-on.
  • À-la-carte edits.
  • AI Visibility setup and monthly reports.

Prices and inclusions are shown at checkout. The price you agree to at checkout is the price that applies to your order.

2. Previews

2.1 How previews are made

We may prepare a redesign preview of your website on our own initiative, before you have asked for anything. We build it from publicly available information, such as your current website, your public business listing and reviews, and photos you have published. We may also use drafts and imagery produced with AI tools.

2.2 What a preview is not

A preview is a proposal, not a published website.

  • It is private, protected by a PIN, and marked so search engines do not index it.
  • It is automatically deleted 14 days after we send it, unless you buy.
  • A preview does not mean you endorse us, or we endorse you. It does not imply any partnership or affiliation.
  • Your business names, logos and trademarks remain yours. We use them only to show you the proposal.
  • If you ask us to delete a preview, or to stop contacting you, we will do so promptly. We will not publish a preview without your purchase and approval.

3. Your account and orders

  • You agree to give us accurate contact and billing details and to keep them current.
  • Orders are confirmed when payment succeeds.
  • Payments are processed by Stripe. We do not store your full card number.
  • Prices are in US dollars and exclude applicable taxes, which we add where required.

4. Hosted Website plan (subscription)

4.1 Price and what's included

A one-time setup fee of $190, then $39 per month. The plan includes hosting and an SSL certificate, a working contact form, and one small update per month — a minor text, photo or hours change of about 30 minutes or less. Unused updates do not roll over. Larger changes are billed as à-la-carte edits.

4.2 Automatic renewal

Your plan renews automatically every month and your payment method is charged $39 (plus any applicable tax) on each renewal date until you cancel. We show this disclosure before you pay and email you a confirmation that includes it, the price, the billing frequency and how to cancel. If we change the monthly price, we will email you at least 30 days before the new price applies, and you may cancel before then.

4.3 Cancel any time, online, in one step

You can cancel at any time from the link in your account or in any billing email, in one step, with no phone call or retention offer required. You can also cancel by emailing hello@limelift.studio. When you cancel, no further charges are made and your site stays live until the end of the month you have already paid for. Monthly fees already paid are not refunded, except under the 7-Day Launch Guarantee in Section 6.

4.4 Failed payments

If a renewal charge fails, we will notify you and retry. If payment is still outstanding after 14 days, we may suspend the site until it is paid.

5. Files Only

  • Price. $490, paid once.
  • Delivery. We deliver the website files by a download link sent by email, valid for 30 days. Please download and back up your files promptly. After the link expires we are not required to keep a copy.
  • Final sale. Because digital files cannot be returned, the sale is final once the files are delivered.
  • No launch support. Files Only includes no hosting, launch help or launch guarantee. You are responsible for installing, hosting, securing and maintaining the site.
  • If the files are faulty. If the files are corrupted or materially different from the approved preview, tell us within 7 days of delivery and we will fix or replace them.

6. 7-Day Launch Guarantee (Hosted Website only)

If your Hosted Website is not live within 7 days after both (1) we receive your payment and (2) you give us the domain access we need (see Section 8), we will refund the setup fee and the first month's fee in full on request.

The 7-day period pauses while we are waiting on you — for example, for content you promised to send, approval of a revision, or a DNS change only you can make. It does not apply to delays caused by your registrar or other third parties outside our control. Refunds go back to the original payment method through Stripe.

Revisions. Up to three tweaks are included, requested from your preview and completed within 7 days of payment. Additional changes are billed as à-la-carte edits.

7. Add-ons, edits and AI Visibility

  • Brand Kit. $299. The deliverables are those listed at checkout. Final once delivered.
  • À-la-carte edits. Priced individually, from $19 each. The price and scope are confirmed before you pay.
  • AI Visibility. Setup is $149 with a redesign or $249 on its own. The optional monthly report is $19 per month, renews automatically and can be cancelled in the same one-step way as Section 4.3. The service aims to improve how your business appears to search engines and AI assistants. We do not guarantee any ranking, placement, traffic, mention or result on any search engine, map, directory or AI assistant. Those systems are controlled by third parties and change without notice.

8. Your domain and DNS

Your domain stays yours. We never take ownership of your domain. To launch, we need delegated access through your registrar's account-sharing feature (never your password), or you can make the change yourself with our instructions. We change only the "www" CNAME record and a redirect from your root domain. We never touch your MX or other email records. Never send us passwords.

You remain responsible for renewing your domain, keeping your registrar account secure, and any changes you or others make to your DNS. When you cancel, you can point your domain elsewhere at any time, and we will remove our access on request.

9. Your responsibilities and content

You are responsible for the content you give us or approve, including text, photos, logos, prices, hours, licenses and claims about your business. You confirm that this content is accurate; is yours, or you have the rights to use it; and does not infringe anyone's rights or break any law, including advertising, licensing and professional rules for your industry.

Please review the site, including any AI-assisted text or images, before approving it. Your approval confirms the content is correct. You are responsible for any legal notices your own website needs, such as your site's own privacy policy.

10. Acceptable use

You may not use our services to publish or support content or activity that is illegal, fraudulent, deceptive, defamatory, hateful or harassing; infringes intellectual property or privacy rights; contains malware; sends spam; involves adult content, weapons trafficking or other prohibited goods; or interferes with our systems or other customers. We may remove content or suspend a site that breaks this section. Where reasonable, we will contact you first.

11. Ownership and licenses

Your content. You keep ownership of your content. You give us a non-exclusive, worldwide, royalty-free license to use, copy, adapt, host and display it only to create, host, improve and support your website and to provide the services you ordered. This license ends when our services end, except for backup copies described in Section 13 and portfolio use below.

Our materials. We keep ownership of our templates, code libraries, design systems, workflows, prompts, scripts and other tools ("Limelift Materials"), and general know-how we develop.

License on delivery. Once you have paid in full: for Files Only and Brand Kit, we give you a perpetual, non-exclusive, worldwide, royalty-free license to use, modify and publish the delivered design and files for your business. For a Hosted Website, you have the same rights for as long as you subscribe; after cancellation, we will provide a downloadable export of your site's content and images on request within 30 days.

Portfolio. We may show your published site (screenshots and a link) in our portfolio and marketing. We will stop if you ask in writing.

Feedback. If you send suggestions, we may use them freely.

12. AI tools and third-party content

We use AI tools to help produce drafts, text and imagery. AI output may contain errors, may resemble other existing material, and may not be protected by copyright. We review what we deliver, but you should check facts about your business before approving. Images, fonts or icons we license from third parties are provided under their licenses, which may limit use outside your website. We do not use your private content to train our own AI models.

13. Hosting, availability and backups

We host on reputable infrastructure (currently Cloudflare) and make reasonable efforts to keep sites available and secure. We do not guarantee uninterrupted or error-free service; outages can result from maintenance, provider incidents, attacks or events outside our control. We keep routine backups while you subscribe and delete them within 90 days after the account ends, unless law requires longer.

14. Third-party services

Our services rely on third parties, including Stripe (payments), Cloudflare (hosting and delivery), your domain registrar, Google (maps and business data) and AI providers. Their services are governed by their own terms, and we are not responsible for their acts, outages or changes.

15. Referral program — "Give a month, get a month"

If someone you refer buys a Hosted Website and pays their first month, you and they each receive one free month of hosting, applied as a credit to your next renewal. Credits have no cash value, can't be transferred, and are lost when the subscription ends. Self-referrals, duplicate accounts and referrals obtained through spam do not qualify. We may change or end the program with notice; credits already earned remain valid.

16. Warranties and disclaimer

We will provide our services with reasonable skill and care, and websites we build are designed to align with WCAG 2.1 AA accessibility guidelines at launch. Except as stated in these Terms, the services are provided "as is" and "as available." To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise any number of customers, leads, revenue or search results.

17. Limitation of liability

To the extent the law allows: (a) neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill; (b) our total liability for all claims relating to these Terms or the services is limited to the fees you paid us in the 12 months before the event giving rise to the claim; (c) these limits do not apply to fraud, willful misconduct, or liability that cannot be limited by law.

18. Indemnification

You will defend and indemnify Limelift against third-party claims arising from your content or materials you instructed us to use, your business, products or website operations after launch, or your breach of these Terms. We will defend and indemnify you against third-party claims that Limelift Materials, as delivered by us and used as permitted, infringe a US copyright. The party seeking protection must notify the other promptly and cooperate.

19. Suspension and termination

You may end any service as described above. We may suspend or end services immediately for non-payment, illegal use or serious breach; in other cases, we may end them with 30 days' notice and a pro-rated refund of prepaid fees. Sections 9, 11, 12, 14 and 16–21 survive termination.

20. Governing law and disputes

Please contact us first; most issues can be solved within 30 days. These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law rules. Any dispute will be resolved exclusively in the state courts located in Hudson County, New Jersey, or the U.S. District Court for the District of New Jersey. Either party may use small-claims court where eligible. Each party waives the right to a jury trial and agrees to bring claims only individually, not as a plaintiff or member of a class or representative action.

21. Changes and general terms

We may update these Terms. For material changes, we will email active customers at least 30 days in advance; the changes apply from your next billing period, and if you disagree you may cancel before they take effect. These Terms, plus your order details, are the entire agreement. If a provision is unenforceable, the rest remains in effect. Failing to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them in a merger or sale of our business. Neither party is responsible for delays caused by events beyond its reasonable control. Notices to you go to your account email; notices to us go to hello@limelift.studio and our address above.
